1. Who we are

"StaQ Capital" is the consumer-facing brand operated by Nationwide Loans Inc, a California corporation doing business as Nationwide Purchase Loans ("we", "us", "our"). Our mailing address is 701 Palomar Mountain Rd, Carlsbad, CA 92011. Mortgage origination is conducted under NMLS #1799965; California real estate activity is conducted under DRE #02085205. Our principal mortgage loan originator is Amin Nadimzadeh, NMLS #2637871 / DRE #02283479.

2. Acceptance and changes to these Terms

By accessing or using the site, you accept these Terms and our Privacy Policy. We may revise these Terms at any time; the "Last updated" date above reflects the most recent revision. Material changes will be communicated via the website. Your continued use of the site after a revision takes effect constitutes acceptance of the revised Terms.

3. Our services — no commitment to lend

The site describes and provides access to capital advisory, consulting, deal analysis, and mortgage-related services. Nothing on the site — including rate displays, pre-qualification results, deal analyses, underwriting outputs, or responses from our tools — constitutes:

• an offer, approval, or commitment to lend, arrange, or broker financing;
• a loan estimate or disclosure under the Truth in Lending Act (TILA) or TRID unless expressly labeled and delivered as such;
• a guarantee of any rate, term, valuation, or outcome.

All financing is subject to a complete application, underwriting review, credit approval, property appraisal, and applicable federal and state regulatory requirements. Rates and program terms change without notice.

4. Informational content, not advice

Content on the site — including market commentary, calculators, articles, dashboards, and analytical outputs — is provided for general informational purposes only. It is not, and should not be relied upon as, legal, tax, accounting, investment, or financial advice. You should consult your own qualified professional advisers before making any financial decision. Real estate investments carry risk, including possible loss of principal; past performance and projections do not guarantee future results.

5. AI-assisted tools and estimates

Portions of the site use artificial intelligence and automated models — including conversational assistants, automated valuation models (AVMs), deal analyzers, document analysis, and underwriting decision-support tools. You acknowledge that:

• AI-generated outputs may be incomplete, outdated, or inaccurate, and are provided "as is" for informational purposes;
• automated valuations and analyses are estimates, not appraisals, and do not substitute for an appraisal performed by a licensed appraiser;
• automated underwriting outputs are preliminary decision-support results, not credit decisions or approvals;
• you are responsible for independently verifying any output before relying on it.

6. Eligibility

The site is intended for users who are at least 18 years old and located in the United States. Our lending and real estate services are offered only in jurisdictions where we hold the required licenses. Nothing on the site is an offer to provide services in any jurisdiction where doing so would be unlawful.

7. Acceptable use

You agree not to:

• submit false, misleading, or fraudulent information, or impersonate any person or entity;
• upload content or documents you do not have the right to share, or that contain malicious code;
• access or attempt to access accounts, systems, or data you are not authorized to access;
• scrape, harvest, or bulk-download site content or data, or use automated agents against the site except through interfaces we expressly provide;
• interfere with the operation or security of the site, or circumvent rate limits or access controls;
• use the site to violate any applicable law or regulation.

8. Information you submit

When you submit information through our forms or upload documents, you represent that the information is accurate and that you have the right to provide it. Handling of personal information is described in our Privacy Policy and, for financial products and services, our GLBA Privacy Notice. Submitting a form or inquiry does not create an advisory, brokerage, fiduciary, or lender-borrower relationship; such relationships are formed only through separate written agreements.

9. Intellectual property

The site and its content — including text, design, graphics, logos, software, and analytical outputs — are owned by or licensed to Nationwide Loans Inc and are protected by copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the site for your personal or internal business evaluation purposes. No other rights are granted.

10. Third-party services and links

The site may reference or link to third-party websites, data sources, and services (for example, property data providers, mapping services, and NMLS Consumer Access). We do not control and are not responsible for third-party content, accuracy, or practices. Your use of third-party services is governed by their own terms.

11. Disclaimers of warranties

THE SITE AND ALL CONTENT, TOOLS, AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT THE SITE WILL BE ERROR-FREE OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NATIONWIDE LOANS INC AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS RIGHTS YOU HAVE UNDER APPLICABLE CONSUMER-PROTECTION OR FINANCIAL-SERVICES LAW THAT CANNOT BE WAIVED.

13. Indemnification

You agree to indemnify and hold harmless Nationwide Loans Inc and its officers, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms, your misuse of the site, or information you submit.

14. Suspension and termination

We may suspend or terminate your access to the site (including any account) at any time, with or without notice, for conduct that we reasonably believe violates these Terms or is otherwise harmful to us, other users, or third parties. Sections 4, 5, and 9 through 16 survive termination.

15. Governing law and venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute arising out of these Terms or your use of the site will be brought exclusively in the state or federal courts located in San Diego County, California, and you consent to personal jurisdiction and venue there. This section does not override mandatory venue or dispute-resolution rights you may have under applicable consumer law.

16. Miscellaneous

These Terms, together with the policies referenced in them, are the entire agreement between you and us regarding use of the site. If any provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
